This Schedule N Form 1120 2026 guide explains the IRS Foreign Operations of U.S. Corporations. Schedule N for Form 1120 requests information about specified foreign operations and related reporting. The answers should be reconciled with the corporation foreign entities, accounts, transactions and information returns. A disclosure answer is not a substitute for a separate return required by those facts.

What Schedule N Form 1120 2026 does and who prepares it
A corporation reports the foreign operations information required with the applicable corporate return.
For the connected reporting route, see Form 1120. Keep the role of that document separate from the task explained on this page.

Which version of Schedule N Form 1120 2026 should you use?
The 2026 in the title identifies the tax year or calendar-year information addressed by this guide. For a 2026 income reporting document, the preparation or filing activity may occur in 2027. Do not change the income year simply because the calendar has changed. The exact filing or furnishing date comes from the instructions for this form and the filer circumstances. The linked target PDF is a draft. It may be used to understand the proposed layout, but it is not a form to file. Amounts or instructions still subject to completion must be checked again when the final version is released.
Records to gather for Schedule N Form 1120 2026
- Foreign operation records.
- Foreign entity ownership.
- Related information returns.
- Foreign transaction support.
- Corporate return.
Keep a working reconciliation with these records. It should show the source of each reported item, any correction made before filing and the reason a different amount appears on a connected form. This is especially useful when a statement is corrected or a prior-year balance continues into the current calculation.
How to work through Schedule N Form 1120 2026
- Confirm applicability. Start with the purpose, filer category and version of the form. Complete any eligibility or applicability question before spending time on the numerical calculation.
- Prepare the source workpapers. Gather the records listed below and reconcile their totals. Keep prior-year balances, current-year transactions and estimated payments separate where they serve different purposes.
- Complete dependent calculations first. When a line refers to another form, schedule or worksheet, finish that supporting calculation first. Preserve any classification, limitation and carryforward information.
- Follow the line sequence. Use the actual line labels and arithmetic in the applicable form. A line number from an older version may refer to something different after a revision.
- Reconcile the filing package. Check names, identifying numbers, tax periods, totals and required attachments. Then use the filing method, signature process and deadline that apply to this filer and form.
Form-specific IRS instructions and reporting details
The following points retain the operative wording of the IRS documents linked above. Read each point with its stated conditions and the applicable form version. References to another form or section describe a connected requirement; they do not mean that every reader must file every referenced document.
The corporation may be required to file Form 3520 if: • It directly or indirectly transferred money or property to a foreign trust (for this purpose, any U.S. person who created a foreign trust is considered a transferor); • It is treated as the owner of any part of the assets of a foreign trust under the grantor trust rules; or • It received a distribution from a foreign trust. For more information, see the Instructions for Form 3520.
Note: An owner of a foreign trust must ensure that the trust files an annual information return on Form 3520-A, Annual Information Return of Foreign Trust With a U.S. Owner. For details, see Form 3520-A.
For tax year 2026, enter the number of Forms 8964-TRA attached to the entire return. For FDEs or branches of U.S. corporations, attach Form 8964-TRA to the applicable 1120 form. For FDEs or branches of CFCs, attach to Form 5471.
Additional reporting conditions
Check the “Yes” box if either 1 or 2 below applies to the corporation. Otherwise, check the “No” box. 1.
At any time during the 2026 calendar year, the corporation had a financial interest in or signature or other authority over a bank, securities, or other financial account in a foreign country (see FinCEN Form 114, Report of Foreign Bank and Financial Accounts (FBAR)); and: • The combined value of the accounts was more than $10,000 at any time during the calendar year, and • The account was not with a U.S. military banking facility operated by a U.S. financial institution. 2.
The corporation owns more than 50% of the stock in any corporation that would answer “Yes” to item 1 above. If “Yes” is checked for this question: • Enter the name of the foreign country or countries (attach a statement if more space is needed); and • Electronically file FinCEN Form 114 with the Department of the Treasury using the FinCEN’s BSA e-Filing System. Because FinCEN Form 114 is not a tax form, do not file it with your return.
Calculations and supporting information
If the corporation owned at least a 10% interest, directly or indirectly, in any foreign partnership (other than any partnership for which a Form 8865 is attached to the tax return), attach a statement listing the following information for each foreign partnership. For this purpose, a foreign partnership includes an entity treated as a foreign partnership under Regulations section 301.7701-2 or 301.7701-3. 1. Name and EIN (if any) of the foreign partnership. 2.
Identify which, if any, of the following forms the foreign partnership filed for its tax year ending with or within the corporation’s tax year: Form 1042, 1065, or 8804. 3. Name of the partnership representative (if any). 4. Beginning and ending dates of the foreign partnership’s tax year.
Check the “Yes” box if the corporation is a specified domestic entity that is required to file Form 8938 with its Form 1120 and include Form 8938 and this schedule with the Form 1120. See the Instructions for Form 8938 for the definition of a specified domestic entity.

A practical example
A corporation with foreign activities reviews its annual information returns and transaction records. The preparer checks the current schedule questions against those records and resolves inconsistencies before filing.
This example illustrates the order of the review. It does not assume an unverified deduction, exemption, treaty rate or final tax amount. The applicable form instructions and the actual records determine the result.
Common mistakes to avoid with Schedule N Form 1120 2026
- Do not treat a disclosure answer as eliminating a separate filing.
- Keep the answers consistent with foreign information returns.
- Review the current-year questions rather than copying prior answers unchanged.
Questions about Schedule N Form 1120 2026
Does receiving or downloading this form mean I must file it?
A corporation reports the foreign operations information required with the applicable corporate return. The form purpose and the applicable filing or furnishing conditions determine the action. Downloading a blank PDF does not itself create a filing obligation or establish eligibility for a tax benefit.
Can I file the draft PDF?
No. The linked target is marked as a draft. Use it to understand the proposed layout and prepare records, but wait for the applicable final filing version. Check the IRS source again before using any year-specific amount, worksheet or filing instruction.
What should I do if the underlying information is wrong?
Do not treat a disclosure answer as eliminating a separate filing. Keep the original record and the correction trail. The issuer correction process, an amended return and an updated certificate can be different procedures. Choose the process that matches the document and the actual error.
Which records should I keep with the completed form?
Retain the source documents, applicable worksheets, submitted version and filing or furnishing confirmations. For this form, the working file should include foreign operation records, foreign entity ownership, related information returns. Keep continuing balances and prior-year support for as long as they remain relevant under the applicable recordkeeping rules.
