This Form 8858 guide explains the IRS Information Return of U.S. Persons With Respect to Foreign Disregarded Entities (FDEs) and Foreign Branches (FBs). Form 8858 reports the information required for certain foreign disregarded entities and foreign branches. Entity classification, ownership and the filer category affect the reporting. The form may connect with other foreign corporation or partnership returns, but it remains a separate information requirement.

What Form 8858 does and who prepares it
A U.S. person with a covered foreign disregarded entity or foreign branch reporting obligation uses the applicable information return.
For the connected reporting route, see Form 5471. Keep the role of that document separate from the task explained on this page.

Which version of Form 8858 should you use?
This form follows a revision or continuing-use format rather than a new title for every calendar year. Check the revision printed on the document and the period requested inside it. A revision date, transaction date and tax year are different pieces of information. The current document should be read with the instructions that apply to the actual transaction or return.
Records to gather for Form 8858
- Entity or branch ownership records.
- Classification documents.
- Financial statements.
- Related-party transactions.
- Foreign tax and functional-currency records.
Keep a working reconciliation with these records. It should show the source of each reported item, any correction made before filing and the reason a different amount appears on a connected form. This is especially useful when a statement is corrected or a prior-year balance continues into the current calculation.
How to work through Form 8858
- Confirm applicability. Start with the purpose, filer category and version of the form. Complete any eligibility or applicability question before spending time on the numerical calculation.
- Prepare the source workpapers. Gather the records listed below and reconcile their totals. Keep prior-year balances, current-year transactions and estimated payments separate where they serve different purposes.
- Complete dependent calculations first. When a line refers to another form, schedule or worksheet, finish that supporting calculation first. Preserve any classification, limitation and carryforward information.
- Follow the line sequence. Use the actual line labels and arithmetic in the applicable form. A line number from an older version may refer to something different after a revision.
- Reconcile the filing package. Check names, identifying numbers, tax periods, totals and required attachments. Then use the filing method, signature process and deadline that apply to this filer and form.
Form-specific IRS instructions and reporting details
The following points retain the operative wording of the IRS documents linked above. Read each point with its stated conditions and the applicable form version. References to another form or section describe a connected requirement; they do not mean that every reader must file every referenced document.

Reminders Who must file, category 5 filer, and Schedule G, lines 10 through 13. The persons previously described in category 5 are no longer required to file, and a U.S. partnership is no longer required to answer questions on lines 10 and 11 of Schedule G as if it were a U.S. corporation. For a partnership's reporting obligations concerning dual consolidated losses, see Partnership Instructions for Schedules K-2 and K-3 (Form 1065). The description in category 5 has been modified for a new group of filers. Initial or final checkboxes.
Additional clarification has been provided for when to check these boxes. See Initial Form or Final Form 8858 under Specific Instructions, later.
Additional reporting conditions
Form 8858 is used by certain U.S. persons that operate an FB or own an FDE directly or, in certain circumstances, indirectly or constructively. See U.S. Person Filing Form 8858, later. The form and schedules are used to satisfy the reporting requirements of sections 6011, 6012, 6031, and 6038, and related regulations.
If the tax owner of the FDE or FB is a controlled foreign corporation (CFC) or controlled foreign partnership (CFP), the amounts reported on Form 8858 Schedules C, F, H, J, and M must be included in determining the amounts reported on the equivalent schedules, if applicable, of Form 5471 or Form 8865 of the tax owner. If there are tiers of FDEs or FBs (for example, one FDE owns one or more FDEs or FBs), then complete separate Forms 8858 for each FDE or FB.
Do not include amounts reported on a Form 8858 for a lower tier FDE or FB onto the Form 8858 for the upper tier FDE. However, the amounts for all the FDEs and FBs must be included in determining the amounts reported on the form for the tax owner.

Exceptions and related reporting
U.S. Person Filing Form 8858 The U.S. person filing Form 8858 is any U.S. person that: • Is the tax owner of an FDE; • Owns a specified interest in an FDE indirectly or constructively through a CFC or a CFP (see items 2 and 3 under Who Must File, earlier, for more detailed information); or • Operates (directly or indirectly through a tier of FDEs) an FB. Throughout these instructions, when the pronouns “you” and “your” are used, they are used in reference to the U.S. person filing Form 8858.
• The name and percentage of ownership of all entities in the chain of ownership, including partnerships and entities disregarded as separate from their owners. • The FDE’s or FB’s position in the chain of ownership. • The tax classification of all entities in the chain of ownership (see the Form 8832 instructions for tax classification rules and related definitions). • The country under whose law each entity is organized. For these purposes, the rules of section 958(a) (relating to “direct and indirect ownership”) apply.
Each filer of Form 8858 that is required to file an organizational chart with respect to more than one FDE and/or FB may satisfy this requirement by filing a single organizational chart that includes the required information with respect to all FDEs and FBs.
Further form details
For additional instructions on the reporting of foreign taxes for entities filing a Form 8858 that are owned by a foreign corporation, see the instructions for Form 5471, Schedule E. For purposes of column (i), enter foreign income taxes allocated and apportioned to a separate category of income not otherwise listed in column (f), (g), or (h). Identify the taxes with respect to each separate category of income.
For example, if a foreign entity pays taxes to Country A that are allocated and apportioned to two separate categories of income, report the taxes allocated and apportioned to the first separate category on one line and the taxes allocated and apportioned to the other separate category on another line. For purposes of determining the applicable categories of income, see Categories of Income in the Instructions for Form 1118 or in the Instructions for Form 1116, as applicable.
Further form details
Schedule M (Form 8858)—Transactions Between Foreign Disregarded Entity (FDE) or Foreign Branch (FB) and the Filer or Other Related Entities Important: In translating the amounts from functional currency to U.S. dollars, use the average exchange rate for the FDE’s or FB’s tax year. See section 989(b). Report the exchange rate in the entry space provided at the top of Schedule M (Form 8858) using the “divide-by convention” specified under Reporting Exchange Rates on Form 8858, earlier.
A Schedule M (Form 8858) must be filed with each Form 8858 if the FDE or FB entered into any transaction with the filer of the Form 8858 or other related entities during the annual accounting period of the FDE or FB.

A practical example
A U.S. taxpayer operates through a foreign branch or a foreign disregarded entity. The preparer checks the filing category, gathers the financial and transaction records and coordinates the information return with the related tax reporting.
This example illustrates the order of the review. It does not assume an unverified deduction, exemption, treaty rate or final tax amount. The applicable form instructions and the actual records determine the result.
Common mistakes to avoid with Form 8858
- Do not treat a disregarded entity as exempt from every information return.
- Identify the required reporting chain and attachments.
- Reconcile financial and foreign tax information with related returns.
Questions about Form 8858
Does receiving or downloading this form mean I must file it?
A U.S. person with a covered foreign disregarded entity or foreign branch reporting obligation uses the applicable information return. The form purpose and the applicable filing or furnishing conditions determine the action. Downloading a blank PDF does not itself create a filing obligation or establish eligibility for a tax benefit.
Is the revision date always the same as the tax year?
No. Some forms show a tax year, while continuing-use forms show a revision date and ask separately for the reporting period. Check the actual document and instructions. Do not relabel a payment or transaction solely because it was reported in a later calendar year.
What should I do if the underlying information is wrong?
Do not treat a disregarded entity as exempt from every information return. Keep the original record and the correction trail. The issuer correction process, an amended return and an updated certificate can be different procedures. Choose the process that matches the document and the actual error.
Which records should I keep with the completed form?
Retain the source documents, applicable worksheets, submitted version and filing or furnishing confirmations. For this form, the working file should include entity or branch ownership records, classification documents, financial statements. Keep continuing balances and prior-year support for as long as they remain relevant under the applicable recordkeeping rules.
